Important Legal Agreement

These Terms of Service constitute a legally binding agreement between you and StuffHutt. By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of StuffHutt's personal inventory management platform, website, and related services (collectively, the "Service"), operated by StuffHutt ("Company," "we," "us," or "our").

1.1 Agreement to Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1.2 Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

1.3 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

2. Account Terms

2.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password secure and confidential
Not share your account credentials with others
Notify us immediately of any unauthorized access to your account

2.2 Account Security

You are responsible for all activities that occur under your account. We strongly recommend enabling multi-factor authentication (MFA) to enhance your account security. You agree to use a strong, unique password and to protect your account from unauthorized access.

2.3 Account Responsibilities

You are solely responsible for your account and all content you upload, store, or share through the Service. StuffHutt is not responsible for any loss or damage resulting from your failure to maintain account security.

3. Service Description

3.1 Core Features

StuffHutt provides a personal inventory management platform that allows you to:

Catalog and organize your personal belongings
Upload photos and detailed information about your items
Categorize, tag, and search your inventory
Track item locations, conditions, and values
Create wishlists and track desired items
Request professional item appraisals (paid feature)
List items for sale through our marketplace features

3.2 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice when practicable.

3.3 Third-Party Services

The Service may integrate with third-party services (e.g., payment processors, authentication providers). Your use of such services is subject to their respective terms and privacy policies.

4. Subscriptions and Payments

4.1 Subscription Plans

StuffHutt offers the following subscription tiers:

Free Tier: Up to 100 items, 1GB storage
Pro Tier ($9.99/month): Unlimited items, 10GB storage, advanced features
Family Tier ($19.99/month): Multiple users, 50GB storage, premium support

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method for all fees associated with your subscription. All payments are processed securely through Stripe.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can manage your subscription and cancel at any time from your account settings.

4.4 Refund Policy

Subscription fees are non-refundable, except as required by law. If you believe you were charged in error, please contact us within 30 days of the charge. For annual subscriptions, we may offer prorated refunds at our discretion.

4.5 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at your next billing cycle. Continued use after price changes constitutes acceptance of the new pricing.

4.6 Appraisal Services

Item appraisals are sold separately at $5.99 each or in discounted bundles. Appraisal credits do not expire but are non-refundable and non-transferable. Appraisals are for informational purposes only and do not constitute certified valuations.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

5.1 Prohibited Content

Upload, store, or share illegal, harmful, or offensive content
Post content that infringes intellectual property rights
Store information about items you do not own without authorization
Upload malware, viruses, or malicious code
Post false, misleading, or fraudulent content

5.2 Prohibited Activities

Attempt to gain unauthorized access to the Service or other users' accounts
Use the Service for commercial purposes without authorization
Scrape, crawl, or harvest data from the Service
Interfere with or disrupt the Service or its infrastructure
Circumvent security measures or access controls
Use the Service to facilitate illegal transactions
Impersonate others or misrepresent your affiliation
Use automated tools without our written permission

5.3 Enforcement

We reserve the right to investigate violations and take appropriate action, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

6. User Content

6.1 Your Content

You retain ownership of all content you upload to the Service ("User Content"), including photos, descriptions, and item data. By uploading User Content, you grant StuffHutt a limited license to store, process, and display your content solely to provide the Service to you.

6.2 Content License

You grant StuffHutt a non-exclusive, worldwide, royalty-free license to use, copy, modify, and display your User Content solely for the purpose of operating and improving the Service. This license ends when you delete your content or account.

6.3 Content Representations

You represent and warrant that you own or have the necessary rights to your User Content and that your content does not violate these Terms or any applicable laws.

6.4 Content Removal

We may remove any User Content that violates these Terms or that we determine to be harmful, without prior notice. You can delete your content at any time through the Service.

7. Intellectual Property

7.1 StuffHutt Property

The Service, including its design, features, content, and underlying technology, is owned by StuffHutt and protected by copyright, trademark, and other intellectual property laws. The StuffHutt name, logo, and related marks are our trademarks.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial purposes.

7.3 Restrictions

You may not:

Copy, modify, or distribute the Service or its content
Reverse engineer, decompile, or disassemble the Service
Remove any proprietary notices from the Service
Create derivative works based on the Service
Sublicense or transfer your rights to the Service

7.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation to you.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

8.1 Appraisal Disclaimer

Item appraisals provided through the Service are for informational purposes only and do not constitute certified appraisals, insurance valuations, or tax assessments. Appraisal values are estimates based on available information and may not reflect actual market values.

8.2 Third-Party Content

We are not responsible for any third-party content, products, or services linked to or integrated with the Service, including product information from external databases.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUFFHUTT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.

10. Indemnification

You agree to indemnify, defend, and hold harmless StuffHutt and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any rights of another party
Your violation of any applicable laws or regulations

11. Termination

11.1 Termination by You

You may terminate your account at any time by using the account deletion feature in your settings or by contacting us. Upon termination, you will lose access to the Service and your data will be deleted in accordance with our Privacy Policy.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law. We may also terminate inactive accounts after extended periods of non-use.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.

11.4 Data Export

Before terminating your account, you may export your data using the export feature in your account settings. After termination, your data will be deleted in accordance with our data retention policies.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to attempt to resolve the dispute informally by contacting us at legal@stuffhutt.com. We will attempt to resolve the dispute within 30 days.

12.2 Arbitration

If informal resolution is unsuccessful, any dispute arising from these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language in a location mutually agreed upon by the parties.

12.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

12.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for actual or threatened infringement of intellectual property rights.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and StuffHutt regarding the Service.

13.3 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of StuffHutt.

13.5 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

13.6 Notices

We may provide notices to you via email, in-app notifications, or by posting on the Service. Notices are effective upon sending (for email) or posting (for the Service).
